Areas of Practice
Jim Kelly is a partner in the firm’s Business Law Department and a member of its Private Investment Funds and Hedge Fund Practices. Mr. Kelly focuses his practice on the establishment and ongoing management of a variety of private investment vehicles, including hedge funds, real estate funds, private equity funds, venture capital funds and funds of funds. He also represents investment firms in connection with financing and acquisition transactions and has worked with companies in a variety of industries, including technology and life sciences.
Work for Clients
Mr. Kelly’s work in the fund formation and investment management area includes structuring and forming a variety of domestic and non-U.S. private funds and assisting with the offering of interests therein through U.S. and international securities offerings and preparing and negotiating fund formation and investment documents. He also assists clients with the organization of fund manager and sponsor entities and provides advice on compliance, regulatory and ongoing investment management matters and general corporate and internal operational and compensation matters. Mr. Kelly’s company practice has included public and private offerings of equity and debt securities, mergers and acquisitions, and general business and securities advice, with a focus on advising Canadian-based companies and U.S. investors in Canadian-based companies.

Mr. Kelly has been selected for inclusion in Chambers USA: America’s Leading Lawyers for Business. He is a member of the Boston, Massachusetts and American Bar Associations.

Prior to joining Goodwin Procter, Mr. Kelly was an associate in the Business Practice Group at Testa, Hurwitz & Thibeault in Boston.
