Areas of Practice

Minta Kay, a partner in the firm’s Real Estate, REITs & Real Estate Capital Markets Group, focuses her practice on a wide variety of commercial real estate transactions, with a concentration in the areas of real estate securities and capital markets, real estate finance and investment, property acquisitions, leasing and sales, and debt and equity restructuring. Ms. Kay has extensive experience in representing investors in complex joint venture and limited partnership transactions to acquire or develop properties. She also has expertise in the areas of commercial real estate loan and equity investment restructuring, actively representing financial institutions, borrowers and partners in the modification of limited partnership and joint venture investments and loans.

Work for Clients

Ms. Kay regularly represents institutional lenders and a variety of borrowers in construction, permanent, mezzanine and shared-appreciation loan transactions and in providing take-out financings and equity commitments. Her real estate investment and finance clients include mutual funds, REITs, pension fund investment advisors and their tax-exempt investors, individual investors, banks and insurance companies.

Ms. Kay represents her real estate investment management clients in the formation of investment funds. These have included funds organized as private REITs and limited partnerships to invest in senior housing facilities, value-added opportunities and other multiple property types. Ms. Kay regularly represents these funds in the variety of transactions they invest in and oversees compliance with investment strategies and other investment restrictions.

Ms. Kay has represented buyers and sellers of property in taxable and tax-deferred transactions. She has extensive experience with the acquisition and sale of properties by and to insurance companies, developers, REITs and UPREITs, including in exchange for REIT or Operating Partnership shares on a tax-deferred basis.

Professional Activities

Ms. Kay has been elected a member of Outstanding Lawyers of America. She serves as vice chair of the Committee on Legal Decisions of the Real Property and Probate Section of the American Bar Association and is a member of the Boston, Massachusetts and New York Bar Associations. She also has been appointed to the Real Estate Curriculum Advisory Committee of Massachusetts Continuing Legal Education. Ms. Kay is listed in Chambers USA: America’s Leading Lawyers for Business and The Best Lawyers in America. While at Barnard College, she was elected to Phi Beta Kappa.
