
Alyssa A. Grikscheit
Areas of Practice
Alyssa Grikscheit, a partner in the firm’s Business Law Department, has a corporate practice that includes experience in private equity, mergers and acquisitions, strategic alliances, restructurings, securities law, licensing and general corporate law. Ms. Grikscheit is fluent in Spanish and French and has a particular expertise in international transactions involving Latin America and Europe.
Work for Clients
Ms. Grikscheit represents domestic and foreign clients making investments in the United States and other countries. She also represents buyers and sellers, including private equity funds and their portfolio companies, in acquisitions, dispositions, strategic alliances, restructurings and financings, including transactions in regulated industries such as the health care, pharmaceutical, telecommunications and defense industries. Ms. Grikscheit has advised companies on general corporate matters such as contract negotiation, compliance with U.S. securities laws and stock exchange rules, corporate governance, director and officer liability and investor relations. She has represented domestic and foreign issuers in connection with privately placed and registered public offerings of equity and debt securities. Ms. Grikscheit has also represented clients in the negotiation of intellectual property licenses, outsourcing arrangements and operating support service agreements. In addition, she has represented pharmaceutical companies in the negotiation of license, supply and long-term cooperation agreements.
Professional Activities
Ms. Grikscheit is co-chair of the Inter-American Committee of the International Law and Practice Section of the New York State Bar Association, and is a member of that section’s Executive Committee. She is a member of the Committee on Negotiated Acquisitions of the Business Law Section of the American Bar Association, the International Law Section of the American Bar Association, the International Bar Association and the Inter-American Bar Association. In addition, Ms. Grikscheit is a fellow of the American Bar Foundation, an honor limited to one-third of one percent of lawyers. She was formerly a term member of the Council on Foreign Relations and formerly served as the Casenotes Editor for the International Law News as well as on various committees of the U.S. Council for International Business.
Publications/Presentations
Ms. Grikscheit’s most recent article is “Private Equity in Latin America: Strategies for Success,” which appeared in the June 2005 edition of Latin American Law & Business Report.
Ms. Grikscheit is also the author of several published book chapters and articles, including “Structuring the International Acquisition” in International Joint Ventures, Mergers & Acquisitions, and “Extracting Value From Solid Alliances” and “Buying and Selling When the Going Gets Tougher” in Mergers & Acquisitions: The Dealmaker’s Journal. In addition, she has been a featured speaker and moderator at numerous legal industry events, such as the ICM Seminar on E-Ventures in Latin America, the Center for International Legal Studies Conference on International Mergers and Acquisitions, the Association Internationale des Jeunes Avocats Seminar on Cross-Border Mergers and Acquisitions, the American Bar Association Section of International Law and Practice Spring Meeting, and the American Bar Association Annual Meeting.
While attending law school, Ms. Grikscheit was the Book Review Editor for the Michigan Law Review.
Professional Experience
Prior to joining Goodwin Procter, Ms. Grikscheit was counsel at O’Melveny & Myers, where she was a member of the firm’s Mergers and Acquisitions/Private Equity Practice Group. She previously spent time as a stagiaire at JeantetAssociés in Paris.

Ms. Grikscheit is admitted to the New York State Bar.
Honors and Awards
In 2006, Ms. Grikscheit received the prestigious Burton Award for Legal Achievement, which recognizes excellence in legal scholarship. She was honored for authoring “Private Equity in Latin America: Strategies for Success,” which appeared in Latin American Law & Business Report. She was also awarded the First Prize for Best Paper presented at the Inter-American Bar Association Annual Conference in 2005.

J.D., University of Michigan Law School, 1994 (cum laude) A.B., Harvard College, 1990 (magna cum laude) In 1991, Ms. Grikscheit received a Diploma of Advanced European Studies from the College of Europe in Belgium, where she was awarded a Rotary International Fellowship.
