Stephen Ferruolo, a partner in the Business Law Department and member of the Tech Companies & Life Sciences and M&A/Corporate Governance Practices and chair of the firm’s San Diego office, has a practice focused on corporate finance and governance, and mergers and acquisitions.
Work for Clients
Mr. Ferruolo has worked on public and private financings, acquisitions, joint ventures, strategic partnerships and technology licenses for companies in such fields as biotechnology, medical devices and diagnostics, software, CleanTech and telecommunications.
Professional Activities
Mr. Ferruolo has been selected for inclusion in Chambers USA: America’s Leading Lawyers for Business in the Life Sciences category. He is a member of the American, California and San Diego Bar Associations. Mr. Ferruolo is the Vice President and General Counsel of BIOCOM/San Diego and recently served as co-chair of the Program Committee for the 2008 BIO International Convention. He has also served on the Standing Program and Technology Transfer Committees for BIO.
Publications/Presentations
Mr. Ferruolo frequently speaks on corporate finance, corporate governance and technology transfer issues. His publications include the chapter on “Amended and Restated Certificate of Incorporation” in Start-Up and Emerging Companies: Planning, Financing and Operating the Successful Business (2004).
Professional Experience
Prior to joining Goodwin Procter in 2007, Mr. Ferruolo was Co-Chair of the Corporate/VLG Practice Group at Heller Ehrman LLP and a member of the Intellectual Property Transactions Practice Group. He previously served as Co-Chair of Heller Ehrman’s Life Sciences Practice Group.
From 1979 to 1987, Mr. Ferruolo was an Assistant Professor of History at Stanford University. He also served as a clerk for the Honorable Bruce M. Selya of U.S. Court of Appeals for the First Circuit.

Honors and Awards
Mr. Ferruolo has been recognized as a 2007 San Diego County Top Attorney, as selected by peers in San Diego’s legal community. In 2006, BIOCOM awarded him with the William W. Otterson Service Award, presented for outstanding support of the life sciences industry in San Diego.
